By accessing and using TrackPnL ("the Service"), you agree to be bound by these Conditions of Use. If you do not agree to these terms, please do not use the Service. These terms and your use of the site are governed by the laws of the State of California, without regard to its conflict of law principles. TrackPnL is a personal trading journal and analytics dashboard designed strictly to help traders track their historical performance.

2. Not Financial Advice (Strict Disclaimer)

TrackPnL is NOT a registered broker, financial advisor, or investment professional. The Service provides historical data aggregation, simulated sandbox environments, and mathematical analytics for informational purposes only. Nothing on this platform constitutes financial, legal, or tax advice. You are solely responsible for your own trading decisions and any resulting financial losses.

3. Subscriptions, No Refunds, & Final Sale

Because TrackPnL provides a perpetual Free Tier (10 manual logs per month) allowing you to fully test and evaluate the platform before purchasing, all subscription upgrades are strictly final sale. We do not offer refunds, prorated refunds, or mid-term cancellations under any circumstances. By choosing to upgrade to a Monthly or Annual Pro tier, you acknowledge and agree that your payment is non-refundable. You may disable auto-renewal for the following billing cycle to prevent future charges, but the current active period cannot be canceled or refunded.

5. Acceptable Use & Prohibitions

When accessing the Service, you agree NOT to:

• Engage in any unlawful, fraudulent, or malicious activity.
• Use automated scripts, bots, spiders, or scrapers to access, monitor, or copy any part of the Service without explicit written permission.
• Attempt to gain unauthorized access to our servers, user accounts, or backend infrastructure.
• Upload or distribute viruses, malware, or any other destructive code.

6. Intellectual Property & Ownership

The proprietary codebase, interface design, mathematical parsing algorithms, and visual assets of TrackPnL are protected by copyright, trademark, and intellectual property laws. You are granted a limited, non-exclusive license to use the platform. However, you retain full ownership of all personal financial data, PDFs, and CSVs you upload to the platform.

7. Data Accuracy & Parsing Engine Disclaimers

The Service utilizes automated AI and parsing engines to extract trading data from user-uploaded brokerage statements. While we strive for precision, we explicitly disclaim liability for any errors, omissions, or miscalculations resulting from OCR hallucination or formatting changes made by your broker. TrackPnL is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind.

8. Termination of Service

We reserve the right to immediately terminate or suspend your account, without prior notice or liability, for any reason whatsoever, including but not limited to a breach of these Conditions of Use. Upon termination, your right to use the Service will cease immediately.

9. Limitation of Liability

In no event shall TrackPnL, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) errors or omissions in platform calculations; or (iv) unauthorized access, use or alteration of your transmissions or content.

10. Modifications to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
